Terms of Service

These terms govern your use of NexoSphere. By creating an account or using the platform you agree to them. If you use NexoSphere on behalf of a company, you confirm you are authorised to bind that company.

1. Your account

You must provide accurate information, keep your password secure, and are responsible for activity under your account. You must be at least 18. We may suspend or close accounts that breach these terms or the law.

2. Acceptable use

You agree not to: break the law; infringe others' rights; upload malware; attempt to breach security, access other tenants' data, or circumvent rate limits; scrape or resell the service; or use it to harass others. Virtual-assistant monitoring may only be used with the assistant's explicit consent and for legitimate work oversight.

3. Your content

You keep ownership of the content and data you put into NexoSphere. You grant us only the limited licence needed to host, process and display it to operate the service for you. You are responsible for having the rights to the content you upload.

4. Marketplace, payments and payouts

Transactions in the marketplace are between the buyer and seller; NexoSphere facilitates them but is not a party to the underlying sale. Payments and referral/VA payouts are processed by third-party providers subject to their terms and their identity-verification (KYC) requirements. You are responsible for the taxes applicable to your own transactions.

5. Referral program

Referral rewards and commissions are earned under the published program rules, subject to a cooling-off period and anti-fraud checks. We may withhold or reverse rewards obtained through fraud, self-dealing, or refunded/charged-back transactions.

6. AI features

NexoSphere's AI features generate suggestions and drafts from your data. Outputs may be inaccurate or incomplete — review them before relying on or sending them. AI drafts are provided for your review, not sent automatically. AI features do not constitute legal, financial or tax advice.

7. Availability & disclaimers

We work to keep the service available but provide it "as is," without warranties of uninterrupted or error-free operation. To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses, and our total liability is limited to the fees you paid us in the 12 months before the claim.

8. Termination

You may stop using NexoSphere and delete your account at any time (Settings → Security). We may suspend or terminate access for breach of these terms. Provisions that by their nature should survive termination (e.g. ownership, disclaimers, limitations) will do so.

9. Governing law

These terms are governed by the laws of the jurisdiction in which your primary NexoSphere entity operates (the Philippines or the United Arab Emirates). Mandatory consumer-protection and data-protection rights in your country still apply. (The specific governing-law and dispute-resolution clauses will be finalised on legal review.)
